  • Progress tracking and credentials

3. Eligibility

You must be at least 13 years old to use the Platform. If you are under 18, you must have parental or guardian consent. By using the Platform, you represent that you meet these requirements.

4. Account Registration

4.1 Account Creation

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your password
  • Accept responsibility for all activities under your account

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, software, code, algorithms, audio and video content, course materials and curricula, data compilations, databases, and user interface design are the exclusive property of PMERIT Holdings LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Limited License to Users

Subject to your compliance with these Terms, PMERIT grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Platform for personal, non-commercial educational purposes
  • View and download course materials for personal study
  • Complete assessments and earn credentials

5.3 Restrictions

You agree NOT to:

  • Copy, reproduce, distribute, or publicly display any Platform content
  • Modify, adapt, translate, or create derivative works
  • Reverse engineer, decompile, or disassemble any software
  • Use automated systems (bots, scrapers) to access the Platform
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use the Platform for any commercial purpose without authorization
  • Share your account or credentials with others
  • Circumvent any access controls or security measures
  • Scrape, harvest, or collect any content or user data

5.4 User Content

By submitting content to the Platform (comments, assignments, etc.), you:

  • Retain ownership of your original content
  • Grant PMERIT a worldwide, royalty-free license to use, display, and distribute such content in connection with the Platform
  • Represent that you have the right to submit such content

5.5 Trademarks

PMERIT, the PMERIT logo, and all related names, logos, product and service names, designs, and slogans are trademarks of PMERIT Holdings LLC. You may not use these marks without prior written permission.

6. Prohibited Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Post false, misleading, or fraudulent content
  • Harass, threaten, or harm other users
  • Upload viruses, malware, or malicious code
  • Attempt to gain unauthorized access to any systems
  • Interfere with the proper functioning of the Platform
  • Use the Platform for any illegal or unauthorized purpose
  • Impersonate any person or entity
  • Collect personal information of other users

7. AI-Powered Features

7.1 AI Assistance

The Platform uses artificial intelligence to provide educational assistance. You acknowledge that:

  • AI responses are for educational purposes only
  • AI may occasionally produce inaccurate information
  • AI is not a substitute for professional advice

7.2 AI Limitations

PMERIT is not responsible for:

  • Decisions you make based on AI recommendations
  • Career or educational outcomes resulting from AI suggestions
  • Any inaccuracies in AI-generated content

8. Assessments and Credentials

8.1 Assessments

Our career and personality assessments are for educational guidance only. They are not:

  • Professional psychological evaluations
  • Guaranteed predictors of career success
  • Medical or clinical diagnoses

8.2 Credentials

Any certificates, badges, or credentials earned through the Platform:

  • Represent completion of PMERIT courses only
  • Are not academic degrees or professional certifications
  • Are subject to verification by PMERIT

9. Payment and Subscriptions

9.1 Fees

Certain features require payment. By purchasing:

  • You agree to pay all applicable fees
  • Fees are non-refundable unless otherwise stated
  • We may change pricing with notice

9.2 Subscriptions

Subscriptions automatically renew unless cancelled. You may cancel at any time through your account settings.

10. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR RELIABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL PMERIT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, DATA, OR GOODWILL; SERVICE INTERRUPTION; COMPUTER DAMAGE OR SYSTEM FAILURE; OR COST OF SUBSTITUTE SERVICES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless PMERIT and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content submitted to the Platform

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by the laws of the State of Maine, USA, without regard to conflict of law principles.

14.2 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Maine.

14.3 Class Action Waiver

You agree that any dispute resolution shall be conducted on an individual basis and not as a class action or representative proceeding.

14.4 Exceptions

Notwithstanding the above, either party may seek injunctive relief in court for intellectual property infringement or unauthorized access.

15. DMCA Policy

We respect intellectual property rights. If you believe content on the Platform infringes your copyright, please send a DMCA notice to:

16. Termination

16.1 By You

You may terminate your account at any time by contacting us or using account settings.

16.2 By PMERIT

We may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms.

16.3 Effect of Termination

Upon termination:

  • Your right to use the Platform ceases immediately
  • All provisions that should survive termination shall survive (including IP rights, disclaimers, limitations of liability)

17. General Provisions

17.1 Entire Agreement

These Terms constitute the entire agreement between you and PMERIT regarding the Platform.

17.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

17.3 Waiver

Failure to enforce any right does not constitute a waiver of that right.

17.4 Assignment

You may not assign these Terms. We may assign our rights and obligations without restriction.

17.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
